Senior Legal Counsel – International Finance

About the role

EDFI Management Company is seeking a (Senior) Legal Counsel to support its fundraising and investment activities across emerging and developing markets. The role combines legal expertise with a focus on sustainable development finance, working closely with investment professionals to structure and execute complex international transactions.

Key responsibilities

• Provide strategic legal advice on transaction structuring, negotiations and contractual arrangements.
• Support investment teams throughout the full lifecycle of investments, from structuring to implementation.
• Draft, review and negotiate financing and investment documentation for debt, equity and hybrid deals.
• Identify legal and commercial risks and propose pragmatic, business‑oriented solutions.
• Coordinate with external legal advisors across multiple jurisdictions as needed.
• Advise on debt and equity restructurings, workout situations and insolvency matters.
• Support fundraising activities and manage contractual relationships with institutional stakeholders, including the European Commission.
• Assist with compliance, governance and corporate legal matters.
• Contribute to the development and continuous improvement of legal frameworks, policies and procedures.

Required profile

• Master’s degree in Law.
• Approximately 5–10 years of experience in international finance transactions.
• Fluent in English and French.
