Senior Legal Counsel – International Finance

About the role

EDFI Management Company is seeking a (Senior) Legal Counsel to support its fundraising and investment activities across emerging and developing markets. You will work closely with investment professionals to provide legal advice on complex international finance transactions that drive sustainable development.

Key responsibilities

• Provide strategic legal advice on transaction structuring, negotiations and contractual arrangements.
• Support investment teams throughout the full lifecycle of debt, equity and hybrid investments.
• Draft, review and negotiate financing and investment documentation.
• Identify legal and commercial risks and propose pragmatic, business‑oriented solutions.
• Coordinate with external legal advisors in multiple jurisdictions.
• Advise on restructurings, workouts and insolvency matters.
• Support fundraising activities and manage relationships with institutional stakeholders, including the European Commission.
• Assist with compliance, governance and corporate legal matters.

Required profile

• Master’s degree in Law.
• 5–10 years of experience in international finance transactions.
• Fluent in English and French.
• Experience with cross‑border transactions in Africa, Asia or Latin America.

Required skills

• Legal drafting and negotiation.
• Knowledge of debt, equity and hybrid financing structures.
• Understanding of ESG, regulatory and compliance issues in development finance.
