Senior Legal Counsel – Development Finance

About the role

The European Development Finance Institutions Management Company (EDFI MC) is seeking a Senior Legal Counsel to provide legal support for its fundraising and investment activities across critical raw materials projects in developing countries. Based in Brussels, the role involves navigating EU‑EC regulations, drafting agreements and ensuring compliance with responsible development finance standards.

Key responsibilities

• Provide strategic legal advice on deal structuring, contracting and liaise with external legal experts as needed.
• Guide investment teams and other stakeholders through the legal aspects of new and existing transactions from structuring to implementation.
• Coordinate drafting and negotiation of contractual documentation for equity and debt investments, working closely with external counsel.
• Advise the Portfolio Team on restructuring solutions for existing investments.
• Support the implementation and upkeep of rules and regulations to meet EDFI MC’s stakeholder obligations.

Required profile

• Master’s degree in law obtained in an EU country.
• 5‑7 years of experience in project finance, mining finance, commodities, infrastructure or related sectors, preferably within a development finance institution, international organisation, law firm or impact‑investment entity.
• Experience in debt and equity restructuring and familiarity with insolvency or similar proceedings.
• Background in compliance or governance, or a willingness to develop these skills.
• Understanding of technical, operational and ESG risks in the critical raw materials sector is an asset.
