Corporate Legal Counsel

About the role

Alan is building a new standard in prevention insurance and seeks a senior Corporate Legal Counsel to shape its legal framework across multiple jurisdictions. You will work closely with product, business, and finance teams to ensure that new business lines and international expansions are legally sound while supporting rapid growth.

Key responsibilities

• Define regulatory pathways and legal structures for strategic launches, including insurance subsidiaries and health services.
• Lead M&A transactions from LOI to closing, drafting and negotiating agreements, conducting due diligence, and resolving deal‑breaking issues.
• Design and implement multi‑jurisdictional equity programs and corporate governance processes, including board resolutions and share transfers.
• Build internal legal frameworks, templates, and decision‑making guidelines to reduce reliance on external counsel.
• Collaborate with Finance on tax frameworks and ensure compliance with corporate law across countries.

Required profile

• Extensive experience in corporate law, M&A, and regulatory matters within the insurance or health‑tech sector.
• Proven ability to structure complex transactions and equity compensation plans across multiple jurisdictions.
• Strong judgment on legal risk and the capacity to balance in‑house handling with external counsel when needed.

Required skills

• Corporate governance and shareholder rights expertise.
• Experience drafting and negotiating LOIs, SPAs, and board documentation.
• Knowledge of cross‑border equity solutions and tax considerations.
