About the role
As a Commercial Counsel you will support Esko’s customer‑facing SaaS and software licensing transactions on a global basis. You will draft, negotiate and manage a wide range of commercial agreements, including partnership, procurement, NDAs and data‑protection contracts, while providing legal guidance to sales and service teams.
Key responsibilities
- Gaining a solid understanding of the business, its goals and challenges and identifying appropriate commercial contract strategies on a global basis.
- Negotiating, documenting and approving commercial transactions, contracts and other legal arrangements, with a focus on software licensing and SaaS services.
- Providing commercial‑related legal advice to limit risk and supporting business leaders in contract negotiation.
- Assisting with mergers & acquisitions, from due diligence through documentation and integration planning.
Required profile
- Law degree with 6–8 years of experience in an international law firm, multinational company, or a combination of both.
- Significant experience handling software‑related matters, including SaaS and software licensing on the sell‑side.
- Fluent English with strong written and verbal communication skills, able to explain complex legal issues to non‑legal audiences.
- Strong collaboration, strategic guidance, and ability to work independently; willingness to travel up to 20% domestically and internationally.
