Chief Legal Officer – Executive Committee Member

About the role

Vicinity is seeking a Chief Legal Officer to join its Executive Committee. Reporting directly to the CEO and Board, you will hold full legal responsibility for the fund and the company, operating at both strategic and operational levels across acquisitions, fund structuring and partnerships.

Key responsibilities

• Lead acquisition of real estate assets and companies, drafting and negotiating LOIs, purchase agreements, shareholders’ agreements, leases and sale commitments.
• Coordinate and oversee legal due diligence covering title, zoning, environmental, tax and other aspects, and manage closing and post‑acquisition integration.
• Maintain and develop fund legal structures such as SPVs, holdings and co‑investment vehicles, and ensure corporate secretarial compliance for boards and general meetings.
• Manage relationships with shareholders, board members and institutional investors, drafting and updating shareholders’ agreements, articles of association and resolutions.
• Provide strategic legal advice to the Executive Committee, CEO and Board on all structuring projects, partnerships and regulatory matters.

Required profile

• Extensive experience (typically 10+ years) in corporate, M&A and real‑estate law, preferably within fund or investment environments.
• Proven track record of leading complex transactions and structuring legal entities.
• Strong understanding of corporate governance, shareholder relations and regulatory compliance.
• Fluent in English; knowledge of French or Dutch is a plus.
