Legal Counsel – Shareholder Dispute & M&A Specialist

About the role

Deminor NXT seeks a Legal Counsel for its Brussels office to handle shareholder conflict resolution and transactional work, including M&A deals. The role combines legal analysis, drafting, negotiation, and mediation to guide clients toward negotiated solutions.

Key responsibilities

• Draft and review legal documents such as shareholders’ agreements, SPA, put/call agreements, minutes, LOI, NDA, and family charters.
• Conduct due‑diligence, strength/weakness analysis of client positions, and prepare presentations and memos.
• Participate in client meetings, negotiations, board and shareholder meetings, focusing on defusing tensions.
• Act as facilitator or mediator in deadlock or conflict situations, favoring negotiated outcomes over litigation.

Required profile

• Master’s degree in Law.
• At least 5 years of experience as a lawyer, legal expert, or in a legal department, preferably with Belgian corporate law.
• Strong analytical and drafting skills with a genuine interest in negotiation and mediation.
• Native‑level French and good knowledge of Dutch and/or English.

Required skills

• Proficiency with Microsoft Word, Excel, and PowerPoint.
• Experience using legal databases such as Strada.
